Domain Purchase Agreement

1. Agreement Parties and Roles

This agreement governs the sale of the domain name [The Domain Name] (the "Domain").

1.A. The Seller and Nominee

The Seller is **[Your LLC Name]**, acting solely as the Nominee and Transfer Agent on behalf of the Domain's true beneficial owner, an individual located in **[City, State of Virtual Mailbox]** (the "Seller").

The Buyer acknowledges that **[Your LLC Name]** is responsible for facilitating the transfer and collecting payment, but is **not** the party incurring the capital gain liability.

1.B. The Transaction Processor

The payment transaction is managed and processed directly by the Nominee, **[Your LLC Name]** (the "Processor"), via its Ecwid cart.

2. Terms of Sale

2.1 Purchase Price and Payment

The total purchase price for the Domain is as displayed on the following checkout page. Payment must be made immediately and in full through the Processor's secure Ecwid payment gateway.

2.2 Domain Transfer Process

Upon confirmation of cleared payment, the Seller will initiate the transfer process within **[Number]** business days.

• Seller's Responsibility: The Seller will provide the necessary EPP/Auth code or initiate a registrar-to-registrar push through the current registrar, [Current Registrar Name].
• Buyer's Responsibility: The Buyer must have an active account with a domain registrar to receive the transfer and must provide accurate transfer details promptly.
• Completion: The sale is complete, and the Seller’s obligations are fulfilled, upon the successful initiation of the transfer process.

3. Warranties, Disclaimers, and Finality

3.1 Warranty of Ownership

The Seller warrants that they are the sole legal owner of the Domain and have the full, unencumbered right to transfer ownership to the Buyer.

3.2 Sold "AS IS"

The Domain is sold to the Buyer on an **"AS IS"** basis.

The Seller and Processor make NO warranties regarding the Domain's past use, traffic, or non-infringement of any third-party intellectual property rights.

3.3 All Sales Are Final (No Refunds)

Due to the immediate and irreversible nature of domain registration transfers, ALL SALES UNDER THIS AGREEMENT ARE FINAL. NO REFUNDS WILL BE ISSUED after the payment has been confirmed and the transfer process has been initiated.

4. Limitation of Liability

The Buyer agrees that the total liability of both the Seller and the Processor for any and all claims related to this purchase shall **not exceed the total Purchase Price** paid by the Buyer.
